Negotiating Terms of Chief Legal Officer Employment Contract


 September 2025 edition

I hope this email finds you and your family in good health. We are now in our last weeks of summer, with vacations now over or ending, Labor Day and its cook-outs and other fun associated activities, all now past us, as we look forward to Autumn and a return to our usual routines. So, for most of us, the time for the beach and ocean swimming is now past, but still September is a great time for long walks, hikes and bike rides, and later this month, apple picking and the New England fall foliage season.

These are good times for Boston Red Sox fans with long win steaks in July and August, and a winning ball club anchored by a stellar starting pithing rotation of Garret Crochet, Bryan Bello and Lucas Giolito, with Garrett Whitlock and closer Aroldis Chapman. Thus, through Labor Day, the Sox are 15 games over .500 and would make the playoffs. I have been fortunate to attend a number of thrilling Red Sox victories these last two months including two walk-offs with he Sox sporting their walk-off greens. In close games, where Alex Cora calls for his closer, it has also been fun to see the entrance of Chapman into game when the Sox do a video tribute to the late Luis Tiant who passed away last October. Meanwhile, the Patriots after going 2–1 in pre-season games, will have their first real test this Sunday when the Las Vegas Raiders travel to Foxboro. With a new season springs new hope. After a 4–13 record last year, it would be stretch for the Patriots to reach .500 or to make the playoffs. But with new coach Mike Vrabel, a graduate of the Patriots Glory years, and returning offensive play caller Josh McDaniels who will no doubt aid the development of second-year quarterback Drake Maye chances for a better season seem enhanced. Plus, the Patriots used free agency and the draft to bolster the line of scrimmage, while adding key veterans including among receivers. So, fingers crossed for the opener Sunday and better season to follow.

What C-Suite Executives Should Know About Non-Compete Agreements

 


August 2025 edition

We are now well into summer. Hopefully, you and your family are taking some time to enjoy all of your favorite summer time activities. Whether you most enjoy cookouts, picnics, clambakes, time at the beach and seashore, or the lakes, swimming, sailing, biking, walking, hiking or out at the golf links, attending concerts, I hope you are getting out to enjoy summer weather.

Perhaps too, you’ve been able to spend one or more evenings taking in a ballgame live at Fenway Park or even seeing the AAA WooSox at cozy Polar Park on Worcester (as I did recently the WooSox lost, but great post-game fireworks!). In any case, I very much hope you and yours are enjoying summer fun.

Just a bit more on the parent ballclub back in Boston. I had the pleasure of seeing two of the Red Sox victories in the club’s July ten-game winning streak. This included seeing, with Don Goldberg, the Sox wild 5–4 win over the Rays that ended with Ceddanne Rafaela’s two-run, walk-off home run in the 9th inning. https://www.youtube.com/watch?v=cqVoiNrD4f4 That homer soared way over our heads in LF, a rocket way over the Green Monster. That fabulous game ending very much reminded me of Manny Ramirez’s walkoff homer over the Angels in the 2007 ALDS, a great ballgame that I attended with Howard Levine. https://www.youtube.com/watch?v=M3Jyvo5ubhc So far the Sox have continued to win since the All Star Break and have continued to hold down a wild card spot in the standings. Thus, for the first time in a while, the Red Sox were “buyers” at the recent MLB trade deadline. It was at first disappointing the Sox did not do more before the July 31st trading deadline, especially compared to the major moves made by other contending teams (some on WEEI graded GM Craig Breslow’s pickups of two pitchers as a combined C- ). But Breslow did not want to trade Jarren Duran or Trevor Story or another key contributor that might harm winning chemistry. That strategy seems to have paid off so far, as the Sox keep on winning. As part of the team’s weekend sweep of the AL West leading Astros, this past Friday night, with bro Steve Adelson, we saw yet another BoSox walk off win. With the Sox again wearing their “walkoff greens”, uber rookie Roman Anthony delivered a walkoff hit for a 10th inning won over Houston before the largest crowd of the 2025 season, thus far, , 36,811 packed into Fenway Park. https://www.sportsnet.ca/mlb/video/red-soxs-anthony-belts-single-to-deep-centre-for-first-career-walk-off-hit/ plus “Love that dirty water” Boston victory song https://www.youtube.com/watch?v=e0SFuSikmw4 So, you can be sure I am looking forward to attending more Sox games this August and September…and maybe more beyond Gosh, it sure would be fun to again see October baseball return to the Fens. We shall see.

March 2025 Executive Employment Law Newsletter



I hope this email finds you and your family in good health.  We are now into March, with this executive employment law newsletter reaching you on March 4th, which date has a place in US history. On this date, on a cool mostly cloudy afternoon in Washington D.C. 92 years ago, March 4, 1933, Franklin Delano Roosevelt took the oath of office to become the 32nd U.S. President.  He told a nation, during some of the worst days of the Great Depression, that the “only thing we have to fear is fear itself”. With his courage, candor, intelligence, and indomitable spirit, he would go on to lead America through those hard days and then through World War II that would follow, as our nation’s longest serving President.  See link – https://www.youtube.com/watch?v=khFwYWWF6Tc

Meanwhile winter continues.  For those like my wife who relishes her winter sports, I do hope there will be sufficient snow and ice this last month of winter.  For those like me who look forward to warmer weather, perhaps you will get a chance to sneak off for time in the sun in warmer places.

March madness will soon begin and to all with your brackets and betting favorites, and for those out there with alma maters in the NCAA Basketball Tournament  – all best of luck! For my two tournament-eligible alma maters, this has not been the best of years, but both still do nurse their slim NCAA Tournament chances. Boston University – with four Patriot League wins in its last five games, the Terriers will host Navy in a first round PL tournament game at the “Roof” this Thursday.  Northwestern, after recent 20-win seasons, has been well below that this season, near the bottom of the 18-team “Big Ten.”  However, with 3 recent Big Ten wins, the Wildcats may finish among the top 15 to at least compete in the Big Ten Conference Tournament, March 12-16 in Indianapolis. So, hoping both BU and NU can stay hot through their respective Conference Tournaments though both are long shots for the 2025 Big Dance.

Meanwhile in men’s college hockey, BU won the Beanpot 4-1 in an upset over BC at TD Garden on Feb. 10, but BC remains firmly no.1 atop the college ice hockey national rankings. Hockey East remains strong with five New England college teams ranked among the top ten in national polls. So perhaps we will see a rare all-Eastern final at the Frozen Four in St. Louis April 10 to 12. All the while, in our professional winter sports, the Bruins are struggling and the Celtics are having a solid season and we can hope both will make the playoffs with a decent playoff run for the Celtics beginning next month. The Celtics will be defending their NBA championship but competition will be stiff.

Impact of Titles on Your Executive Career — Negotiating Job Titles and More!

 On Thursday May 23, 2024, CEOWORLD magazine published an article I wrote titled, “Impact of Titles on Your Executive Career — Negotiating Job Titles and more!”

The new article is designed for C-level and senior executives and those executives who aspire to the C-suite. This article discusses how selecting and negotiating for the right job title can be important for your career, including how job titles can impact you professionally, in the following ways:

  • Perceived Status and Influence: Your job title reflects your level of authority and influence, and can position you as a decision-maker and strategic leader.
  • Career Trajectory and Succession Planning: Consistent, relevant titles will enhance your upward mobility, enhancing your chances for a future top role
  • Market Perception and Recruitment: Job titles affect perception of your experience and expertise. Recruiters perform online searches for relevant job titles. The right job title may merit a deeper dive into your credentials.
  • Executive Compensation and Equity: Titles often correlate with compensation packages. and enhanced equity opportunities.
  • External Reputation and Networking: A prestigious title opens doors. This can include invites to industry events, panels and media coverage. This added visibility enhances your reputation and expands your network.

My article then moves on to recommend from past experience strategies to aid you in negotiations over job title and authority within the company.

While my focus in this article, is on your executive job title, at the end of the article, two other areas are also mentioned: executive consulting, and titles in contracts, where titles in those areas too have also been proven important to executives.

 Three weeks ago, on Thursday December 21, 2023, the executive career advancement website IvyExec published an article I wrote on “Starting an Executive Consulting Business during your Transition”.

This article was designed for senior executives who have achieved a level of success and now find themselves in transition, that is, between executive positions, and might want to consider doing some consulting before accepting the next full-time job offer.

My article discusses the advantages that providing executive consulting services can offer to senior executives between positions, including the following:

  • Adding to your knowledge, experience and skill set,
  • Aiding and encouraging you to stay current in your field,
  • Expanding deal flow for new CEO and senior executive positions and business opportunities,
  • Lengthening your financial runway with money coming in so you don’t have to take the first position offered,
  • Enhancing your bargaining position when you find a position you like.

The second part of my article offers three suggested steps to begin and develop a consultancy if you do want to give it a try.  The first of those steps discusses how low cost it is to begin consulting, and suggests formation of a protective and also efficient business entity for this purpose.

The article concludes with advice that retaining your consulting business can continue side by side with a new fulltime position once your transition is completed.   The suggestion I make to you is that if you do develop a consultancy you may want to keep it around to retain the business you created and to potentially return to it for future transitions and as a potential source for new opportunities you might consider to continue to advance your career.

Essential Employment Terms for Female Executives

Ten days ago, on Monday June 26, 2023, the executive career advancement website IvyExec published an article I wrote on “Essential Employment Terms for Female Executives”.

Despite significant advances in employment laws, gender inequality remains an area of both concern and controversy. Women continue to lag behind men, even at the CEO, C-suite and senior executive level, when it comes to executive compensation, opportunity for advancement, job status and equity sharing, to name just a few.

Many women still have to prove themselves as trail blazers for their gender in all-male executive management teams that still operate as the “old boys club” with a locker room mentality toward women.

This article discusses hurdles faced today by women with regard to

  • Hiring — achieving equal pay, benefits and other key terms in hiring
  • Change of Control — achieving equal treatment for contributions made that have brought about a successful exit and change of control for the company
  • Harassment & Termination — Circumstances where despite their professional attitude and achievements, women are not judged on merit, but instead face gender-based workplace harassment, threatened and even actual employment termination.

In each instance this article discusses not only these circumstances but also actions for women CEOs and senior executives to take to protect their interests, obtain their proper rights and benefits, and continue their path of career advancement.
